The structuring of a company’s operations in RAKEZ free zone can be organized in one of the following ways:
- Branch of a foreign company or a locally registered entity
- Free Zone Establishment (FZE) with one shareholder
- Free Zone Limited Liability Company (FZ-LLC) with 2-5 shareholders
On the other hand, business operations in a non-free zone in RAKEZ can be structured as an Individual Establishment (sole owner) or as a Limited Liability Company (LLC) with 2 or more shareholders (up to 50 shareholders) requiring a UAE national partner.
For FZE and FZ-LLC, there is a minimum capital requirement of AED 100,000, but it is not necessary to show evidence of the deposit of the capital amount.
For non-free zone companies, the capital should be sufficient to fulfill the purpose of incorporation, with equal shares in value.
The cabinet may determine the minimum capital of the company in combination with the proposal made by the minister and the competent authorities.
